Ownership of Materials, Software and Copyright

When Webthink International "Webthink" is being engaged to create CUSTOM software consisting of both binary and source code "The Software" on behalf of client, the following shall apply to all The Software:

1. Both Client and Webthink will retain ownership of any and all code in both binary and source form that is developed during and as a result of the engagement of Webthink, unless differently agreed upon, in writing.
2. Webthink may reuse, resell, redistribute or reveal The Software to any other entity without the express written consent from the client.
3. Client may resell, redistribute or reveal The Software to any other external entity without the express written consent from Webthink.
4. An implied license of the intellectual property, methodologies or practices excluding any code will be granted to both The Client and Webthink for any methodology or practice developed as a result of the engagement of Webthink.
5. Client will be free to modify, reuse or redeploy The Software for any reason without incurring further licensing fees or restrictions from the Webthink or its agents.
6. Any third party libraries or tools employed that would be required by Client to internally redistribute The Software will be of a royalty free runtime nature and any developmental licenses shall be clearly defined and revealed at the time of the bid and Client will have the option to purchase a license of said tool or library. Example: third party HTML editors, PDF generators, Video Players, Digital Encoders, etc.
7. Webthink will retain ownership to code, both binary and source, that is already owned by Webthink before the engagement and will grant a license to such code to Client for its internal use only. Any additional costs for this license will be clearly defined and revealed at the time of the bid
8. All Clent's proprietary and confidential data shall be outlined before beginning of any work, and will require Webthink's written consent in order to be considered as Proprietary and Confidential. Webthink will use reasonable means to ensure that Client's proprietary and/or confidential items are safeguarded and held in confidence
